Rohan Kazi is the founder of Nirnaya Legal Advisory. He currently serves as Senior Legal Counsel and US Legal Team Lead at Wayve, a global leader in AI-powered autonomous driving technology, where he joined as the company's first US-based attorney and now leads all US legal matters spanning corporate, commercial, product/AI-ML, privacy, IP, employment, and regulatory affairs. His practice centers on complex commercial transactions, corporate governance, product development and deployment, and data privacy, with additional experience in employment and real estate law. He regularly advises on cross-border matters spanning the US, UK, EU, Canada, and Japan, and currently serves on the Advisory Board for UCLA Law Executive Education's Strategic AI for Legal Professionals program.
Before joining Wayve, Rohan spent nearly four years at Bluevine, where he served as lead privacy and AI/ML counsel, senior corporate and commercial counsel, and the company's sole capital markets attorney. In that role, he structured and negotiated secured and unsecured debt financing, warehouse facilities, securitization, and forward flow asset sale transactions, as well as equity financings, capital raises, and M&A deals, while advising senior leadership on compliance with CCPA/CPRA, GLBA, GDPR, and PIPL, along with a range of financial services regulations including Dodd-Frank, FCRA, TCPA, and ECOA.
Earlier in his career, Rohan was an associate at Gesmer Updegrove LLP, a Boston-based firm well known for serving as outside general counsel to startups and small and midsize businesses across a wide range of industries. In that role, he advised small cap, midsize, and large cap public and private companies on the full spectrum of matters that growing businesses regularly face, including corporate formation and governance, licensing, due diligence, and day-to-day commercial contracting, as well as more complex debt and equity financing transactions and mergers and acquisitions. That experience gave Rohan broad exposure to the kinds of practical, cross-functional legal needs that arise as a business grows, from routine formation and contract questions to sophisticated financing and M&A work, an experience base that directly informs his approach to advising small business clients today.
Rohan was also previously an associate at Otterbourg P.C., where he represented banks and institutional lenders in secured lending and asset-based revolving credit facilities. He began his legal career as a law clerk at Clifford Chance, working on cross-border structured financings and aircraft asset-backed securitizations, and as a legal assistant in the Financial Restructuring Group at Milbank LLP, where he supported creditor and debtor representations in large-scale Chapter 11 matters including Enron, Lehman Brothers, and American Airlines.
Rohan holds a J.D. from Boston University School of Law, with a focus on Banking, Corporate, Finance, and Securities Law, as well as a B.A. in International Relations and a B.A. in Sociology from the University of California, San Diego. He is licensed to practice law in California and Massachusetts.
